Key Responsibilities of the General Counsel – Private Equity Firm Legal Strategy & Advisory Develop, implement, and oversee the firm’s legal strategy to support investment activities and operational goals. Provide expert counsel to senior leadership, investment teams, and portfolio companies on legal risks, corporate governance, and transactional matters. Deal Structuring & Transaction Management Lead and manage all legal aspects of private equity transactions, including mergers, acquisitions, divestitures, joint ventures, and capital raises. Oversee drafting, negotiation, and execution of term sheets, purchase agreements, shareholder agreements, and other key legal documents. Fund Formation & Regulatory Compliance Guide the firm through fund formation processes, investor documentation, and evolving regulatory requirements. Ensure full compliance with SEC, FINRA, and other governing bodies, while maintaining robust internal compliance frameworks.
