Analysis

Vusion is set to significantly expand its connected store capabilities through the acquisition of In-Store Media, a move that strategically positions the company to capitalize on the burgeoning physical retail media sector. This transaction aims to integrate In-Store Media's established expertise in monetizing in-store advertising with Vusion's existing technology infrastructure, creating a more robust offering for retailers seeking new revenue streams beyond traditional e-commerce advertising.

The deal, financed through debt, brings together two key players in the evolving retail technology space. In-Store Media, headquartered in Barcelona, boasts a strong presence across nine countries in EMEA, the Americas, and APAC. The company partners with approximately 90 retail chains and over 1,600 brands, generating an estimated €120 million in revenue for the fiscal year 2025, with a notable emphasis on profitability. Their existing portfolio includes more than 50 distinct print and digital advertising solutions tailored for the in-store environment.

This acquisition is particularly significant as the retail industry increasingly looks to leverage the physical store as a powerful advertising channel. While online retail media has seen substantial growth, the majority of consumer purchasing decisions still occur within brick-and-mortar locations. Vusion's Chairman and CEO, Thierry Gadou, highlighted this shift, stating, “The next big digital media is the physical store. Retail media has already transformed the economics of online commerce. The next frontier is in stores, where most shopper traffic remains and decisions of purchase are made.”

By integrating In-Store Media's operational capabilities and extensive network, Vusion intends to enhance its connected store platform. The goal is to provide retailers with tools to effectively measure and monetize in-store traffic, transforming shopper engagement into tangible media value. This strategic alignment is expected to unlock new revenue opportunities for retailers and foster more dynamic in-store shopper experiences, bridging the gap between physical presence and measurable advertising outcomes.

Fernando de Vicente, CEO of In-Store Media, expressed enthusiasm for the integration, noting, “Joining Vusion would allow us to accelerate this mission with the technology, scale, and global footprint required to digitize in-store retail media at a new level.” The combined entity is poised to offer a comprehensive suite of solutions that address the growing demand for sophisticated in-store advertising platforms, a market segment that analysts predict will see significant expansion in the coming years as retailers seek to diversify their income sources.

The transaction saw advisory support from prominent financial and legal institutions. J.P. Morgan and White & Case advised Vusion, while GBS Finance, Mizuho Greenhill, and Baker McKenzie provided counsel to In-Store Media. The deal is subject to standard regulatory approvals and closing conditions, with completion anticipated in the near future.
