These deposits have demonstrated robust growth, with platform-generated deposits increasing at a compound annual growth rate of roughly 35% from 2023 through the second quarter of 2026. Notably, nearly all of these deposits originate from non-borrowing customers, providing Valley with a diversified and stable core funding source independent of its lending activities.

This acquisition represents a significant technological infusion for Valley. Bluevine brings a team of approximately 180 research and development professionals and engineers, with key talent located in technology hubs across the United States, India, and Israel. Valley anticipates that Bluevine's expertise in applying artificial intelligence and data technology to small business workflows will accelerate its internal technology development, reduce reliance on third-party vendors, and enhance its ability to control customer experience and product launch timelines. This technological prowess is seen as transferable beyond Bluevine's current small business focus.

The integration is designed to create synergistic benefits for both customer bases. Bluevine's existing clientele, numbering around 175,000 active small business customers as of June 2026, will gain access to Valley's extensive financial product offerings, including treasury management, wealth management, and capital markets solutions. Conversely, Valley's current small business customers will benefit from Bluevine's advanced digital tools for daily financial operations. The deal is projected to be approximately 8% accretive to Valley's estimated 2028 earnings per share, with an estimated tangible book value dilution of 5% at closing, expected to be earned back within three years.

Following the transaction's completion, Eyal Lifshitz, co-founder and CEO of Bluevine, is slated to join Valley as Head of Small Business Banking.
