M&A Counsel

Role Overview

Tide Rock, a private equity-style holding company based in Solana Beach, CA that acquires and operates a portfolio of established businesses, is hiring an M&A Counsel to lead legal execution across its high-volume acquisition program, working directly with the firm's Corporate Development, finance, and accounting teams.

Key Responsibilities

- Collaborate with Tide Rock's Corporate Development team to structure and execute a high volume of acquisitions

- Lead preparation of drafts of purchase agreements and ancillary documents (stock and asset purchase/sale agreements, merger documents)

- Coordinate with Tide Rock's external counsel and opposing counsel to negotiate legal terms in line with business objectives

- Develop and maintain closing checklists to manage the deal process

- Collaborate with finance and accounting teams on due diligence efforts

- Participate in Investment Committee meetings, representing the legal aspects of deals

- Manage post-close activities, including indemnification claims and true-up/contingent liability discrepancies

- Oversee selection, management, and budget of outside counsel; maintain best-practice guidelines for M&A and equity investment activities

Qualifications

- Strong M&A legal experience, including drafting definitive and ancillary documents, negotiating terms, and managing deal execution

- Large regional, national, or international law firm experience preferred

- Strong interpersonal and communication skills, high degree of maturity and business sense

- Ability to manage internal and external client relationships effectively
