Role Description

Enduring Ventures is seeking a General Counsel to be the firm's first in-house legal leader and the single legal owner across everything the firm does — a hands-on, high-judgment role at the center of its deals and portfolio. The role involves drafting and negotiating acquisitions and financings, owning the firm's commercial and legal negotiations, and directing a bench of outside counsel. The firm is moving into larger, cross-border distressed control acquisitions, and will manage the existing legal and paralegal team from day one. Full-time, based in the Los Angeles office.

Key Responsibilities

Draft, negotiate, and execute M&A documents (SPAs, APAs, related deal documents) on acquisitions and dispositions

Own financing documents: credit agreements, security and intercreditor documents, debt-side mechanics

Lead commercial and legal negotiations, often as lead negotiator across the table from sellers and lenders

Run deal execution and portfolio legal: closing checklists, conditions, post-close integration

Own company contracts, firm governance, and entity management across jurisdictions

Direct outside counsel on litigation, restructurings/bankruptcies, securities/regulatory matters, and employment matters

Qualifications

Roughly 5-7 years of post-qualification legal experience at a top-tier firm (Latham, Kirkland, Weil, Davis Polk, Skadden, or similar)

Background blending M&A or finance with restructuring or special situations; in-house experience at a private equity or special-situations firm preferred

Real experience on purchase agreements, credit agreements, and live negotiations

JD/MBA a plus; international or additional-language capability valued

Compensation: Total on-target earnings $300,000-$500,000 (base $200,000-$275,000, bonus $75,000-$125,000), plus carry/equity participation in the holding company. Benefits include medical/dental/vision, 401(k) match, and commuter benefits.
