Analysis

A significant development in Italy's renewable energy sector sees the acquisition of Società Agricola S.A. Bionergia Romano di Lombardia by an international-backed biomethane investment platform. This strategic move signals continued investor confidence in the Italian biogas and biomethane market, a segment experiencing robust growth driven by sustainability mandates and energy security concerns.

The acquired entity, previously under the umbrella of Agrienergy Bio Srl Societa Agricola, holds a crucial “ready to build” permit for a new biomethane facility. This authorization is key, as the plant is slated to commence operations by June 30, 2028, aligning with the timelines set by recent PNRR decrees. The facility, designed to process approximately 350 cubic meters per hour, will primarily utilize agricultural waste, including effluents from the adjacent Fratelli Rubini cattle farm, and will be integrated into the Italgas network.

This transaction is part of a broader trend of consolidation and investment within the Italian biomethane industry. Recent months have witnessed substantial financial backing for similar projects, including a €24 million project financing for Andion CH4 Renewables (backed by Equitix) and the acquisition of a biomethane plant in Cella Dati by Andion CH4 Renewables from IREN and Santini Agricoltura Rinnovabile. Furthermore, Vorn Energy, supported by Macquarie, secured multi-million euro financing from ING for a biomethane facility in Ferrara, marking a significant first for Italian projects.

Prior to this acquisition, the majority stake (51.5%) in Società Agricola S.A. Bionergia Romano di Lombardia was held by Investments of the future lux sarl (IFL). Established in 2021 and based in Luxembourg, IFL functions as a financial support vehicle often associated with private equity and infrastructure investment structures. Publicly available data suggests a connection between IFL and the Green Arrow Infrastructure of the Future Fund SCA SICAV-RAIF, which is also linked to Green Arrow Private Equity IV Sàrl, indicating a sophisticated ownership structure.

CDI Global Italy served as the financial advisor to the sellers in this transaction, with legal counsel provided by Bip Law for the acquiring party. Cesare Tocchio, managing partner at CDI Global Italy, highlighted the strategic importance of such deals within the firm's global energy M&A practice, noting a strong pipeline of mandates for biomethane and photovoltaic assets, alongside a significant project for the divestment of a BESS (Battery Energy Storage Systems) portfolio.

The Italian biomethane market is projected for substantial expansion, driven by the European Union's renewable energy targets and the national strategy to decarbonize the gas grid. With an increasing focus on circular economy principles and the valorization of agricultural by-products, investments in facilities like the one in Romano di Lombardia are crucial for achieving these ambitious environmental goals. The integration with existing agricultural operations and utility networks underscores the synergistic nature of these developments.
