Silver Lake, PIF Close Record $55B EA Take-Private Deal

In a landmark transaction that redefines the boundaries of private equity buyouts, Silver Lake, the Public Investment Fund (PIF) of Saudi Arabia, and Affinity Partners have officially concluded their acquisition of interactive entertainment giant Electronic Arts (EA). This all-cash deal, valued at a staggering $55 billion, stands as the largest leveraged buyout ever recorded, marking a significant shift for the gaming industry and private capital deployment.

The acquisition, which saw EA's stock delist from NASDAQ following shareholder approval late last year, injects substantial private capital into one of the world's premier video game developers. Under the terms of the agreement, EA shareholders received $210 per share in cash. The ownership structure post-acquisition sees the PIF taking a commanding 93.4% stake, with Silver Lake holding 5.5% and Affinity Partners retaining 1.1%. This concentration of ownership underscores the strategic importance of EA to its new backers.

The financial architecture of this monumental deal comprises an equity commitment of approximately $36 billion, complemented by roughly $20 billion in debt financing arranged by JPMorgan, with a significant portion funded at closing. This substantial debt component, layered onto EA's existing financial obligations, highlights the aggressive capital deployment strategy at play and places a premium on disciplined financial management moving forward.

This transaction is not only the largest all-cash leveraged buyout in history but also represents the biggest take-private in the gaming sector's annals. Navigating the complex regulatory environment proved a considerable undertaking, requiring approvals from US antitrust authorities, a CFIUS national security review, and thorough examinations under EU antitrust and foreign subsidies regulations. The successful closure is a testament to the consortium's ability to manage intricate global compliance requirements.

EA now serves as a cornerstone asset within the PIF's broader strategy, aligning with Saudi Arabia's Vision 2030 economic diversification goals. Turqi Alnowaiser, Deputy Governor and Head of International Investments at PIF, emphasized that "Entertainment and sports are key areas of strategic focus for PIF, and are among the fastest growing and evolving sectors around the world."

For Silver Lake, this deal echoes its early successes, reminiscent of its pivotal role in the Dell take-private over a decade ago. Managing approximately $114 billion in assets, the firm sees significant value creation potential, particularly through leveraging EA's established franchises with advancements in AI-adjacent platforms.
