Analysis

A significant consolidation is underway in the European food sector as Panzani, the French pasta and sauce maker backed by CVC Capital Partners VIII, and Portugal's Cerealis, supported by Sofina and its founding families, are in exclusive talks to merge. This potential union would create a formidable agro-food entity with projected annual revenues approaching €1 billion and an enterprise value estimated at €1.8 billion. The combined group is expected to employ approximately 1,800 individuals, marking a substantial expansion in scale and market reach.

The proposed transaction signals a strategic shift for CVC Capital Partners VIII, which acquired Panzani from Ebro Foods in 2021 for €550 million. Under the merger agreement, CVC would transition to a minority shareholder position, realizing a partial exit while retaining exposure to the growth trajectory of the newly formed conglomerate. This move allows CVC to leverage its initial investment by integrating Panzani into a larger, more diversified platform.

Cerealis, a prominent Portuguese food group known for brands like Milaneza and Nacional, is set to become the controlling shareholder of the merged entity. The Moreira da Silva and Silva Domingues families, who currently lead Cerealis, will steer the combined operations. Their strategic partner, Belgian investment holding company Sofina, which recently acquired a 10% stake in Cerealis in January, will continue its supportive role. This collaboration underscores Sofina's strategy of making long-term, minority direct investments in established businesses.

The merger arrives at a time when the European food industry is experiencing increased pressure from supply chain complexities, evolving consumer preferences towards healthier and more sustainable options, and the need for greater operational efficiencies. A consolidated entity of this size could benefit from economies of scale in procurement, manufacturing, and distribution, enhancing its competitive position against larger global players. The combined entity's product portfolio, spanning pasta, couscous, sauces, flours, breakfast cereals, and biscuits, offers significant cross-selling opportunities across diverse European markets.

Panzani's journey to this potential merger began in July 2021 when CVC Capital Partners VIII finalized its acquisition of the French dry pasta, couscous, semolina, and sauce business from Ebro Foods. This carve-out transaction, valued at €550 million, excluded Ebro Foods' fresh pasta and rice operations. At the time of the acquisition, Panzani generated approximately €470 million in revenue in 2020, employing around 750 people. By the end of 2025, its revenues had grown to €620 million, demonstrating a solid performance under CVC's ownership.

For Cerealis, this merger represents a significant step in its international expansion strategy. The Porto-based company has been actively broadening its product range and market presence. The integration with Panzani would provide access to new distribution channels and a broader consumer base, particularly in France and other key European territories. The financial terms of the deal, including the specific ownership percentages and any cash components for Panzani's current stakeholders, are still being finalized.
