PAI Partners, a leading private equity firm, has agreed to acquire Orion, a prominent Italian provider of environmental monitoring services, from Xenon Private Equity. The transaction marks the first investment through the PAI Mid-Market Fund II, focused on high-potential mid-sized businesses. In recent years, Orion has followed a successful buy-and-build strategy, integrating six complementary companies and more than doubling its annual revenue to €71 million in 2025. With PAI’s support, Orion will continue this strategy, with three new acquisitions already in advanced stages of due diligence, targeting service expansion and entry into new European markets.

Xenon Fidec, the €180 million fund behind Orion’s prior growth phase, views this as its first successful exit among six platforms developed since 2023. Under Xenon’s stewardship, Orion expanded its service offering, doubled its revenues, and significantly grew its customer base.

The deal is pending customary regulatory approvals and is expected to close in the fourth quarter of 2025.
