Analysis

PAI Partners is reportedly preparing to divest its stake in Areas, a prominent player in the travel and transport catering sector. This strategic move follows a period of exceptional financial performance for the Spanish company, marking the culmination of the French private equity firm's investment cycle.

Sources indicate that PAI Partners and Areas' senior management, led by CEO Óscar Vela, have begun engaging with leading investment banks. The objective is to appoint a financial advisor to orchestrate the sale process and identify a new equity partner to guide Areas through its next growth phase. A final decision on initiating the sale is anticipated in January, with a market launch likely in early 2025, contingent on favorable economic conditions.

The potential sale comes as Areas has achieved record-breaking results in its fiscal year 2025/2026. The company reported net sales exceeding €3 billion and an EBITDA surpassing €320 million (adjusted EBITDA over €350 million). Notably, EBITDA before rent payments approaches €800 million. This performance represents a significant uplift from its pre-acquisition figures under Elior, where revenues stood at €1.8 billion with an EBITDA around €200 million. Under PAI Partners' ownership since mid-2019, Areas has seen its revenue climb by approximately 70% and EBITDA by nearly 80%, navigating the unprecedented challenges of the COVID-19 pandemic.

Areas operates a substantial network of over 2,200 establishments across airports, train stations, and highway service areas in twelve countries spanning Europe and the Americas. This extensive footprint positions it as the third-largest global operator in its segment, trailing only Avolta and SSP. The company holds leading positions in Spain, Portugal, France, and Mexico, and is a significant player in the UK and US markets, underscoring its strategic importance in key global travel hubs.

The company's business model, characterized by long-term concession agreements and significant barriers to entry, exhibits traits often associated with infrastructure assets. This "infra-like" profile is attracting interest from infrastructure funds. For instance, Blackstone and EQT recently acquired Urbaser for €5.6 billion, a deal that also involved assets with similar characteristics. Areas' revenue streams are closely tied to traveler volumes, offering a degree of cash flow visibility and long-term contractual relationships.

The current valuation of Areas is estimated to be between €3.5 billion and €4 billion, a substantial increase from the €1.542 billion valuation (including debt) at which PAI Partners acquired the company. Areas' net debt stands at approximately €1.7 billion. While PAI Partners might consider a continuation fund to extend its investment, market sources anticipate a competitive sale process due to the company's strong performance and attractive market positioning.
