Analysis

In a move underscoring the continued vitality of Italy's private debt market, established textile manufacturer Cotonificio Albini has successfully raised €5 million through a new bond issuance. This financing is earmarked to fuel the company's ambitious industrial plan, focusing on modernizing production facilities, enhancing operational efficiency, and developing innovative product lines. The issuance marks a significant step for the Bergamo-based firm, which operates seven production sites across Italy, Egypt, the Czech Republic, and Hungary, exporting its high-quality shirting fabrics to over 80 countries.

The six-year bond, arranged by Sella Investment Banking, is structured with integrated sustainability-linked mechanisms. This innovative approach ties interest rate adjustments to the achievement of specific Environmental, Social, and Governance (ESG) Key Performance Indicators (KPIs). The inclusion of a step-down mechanism, where meeting targets leads to a lower interest rate, highlights the growing importance of sustainable finance in corporate strategy. DoNext served as the servicer and monitoring agent, while Chiomenti provided legal counsel. Cerved ESG Ratings issued a Second Party Opinion, confirming the sustainability parameters align with International Capital Market Association standards.

This latest transaction is part of the broader Sella Basket Bond initiative, a program designed to support Italian enterprises through debt financing. With Cotonificio Albini's €5 million contribution, the program has now channeled approximately €120 million to 14 distinct Italian businesses since its inception. The initiative's funding architecture features Cassa Depositi e Prestiti and Mediocredito Centrale as anchor investors, each subscribing 40% of the securities issued by the special purpose vehicle, SBB SPV srl. Banca Sella completed the investor group by taking the remaining 20% stake.

Cotonificio Albini's engagement with private debt is not unprecedented. The company previously secured a €2.5 million, six-year minibond in 2018, arranged and fully subscribed by UniCredit. This prior experience likely informed the current, more sophisticated issuance, which also incorporates a non-possessory pledge on textile products held at the Gandino logistics hub. This collateral structure allows Cotonificio Albini to maintain operational flexibility by continuing to trade inventory while ensuring a minimum value coverage ratio against the outstanding debt.

The textile industry, a cornerstone of Italian manufacturing, is navigating a period of significant transformation, driven by global competition, evolving consumer preferences, and the imperative for greater sustainability. Companies like Cotonificio Albini are demonstrating resilience and strategic foresight by leveraging financial instruments to invest in future growth and environmental responsibility. The €120 million deployed through the Sella Basket Bond program signifies a substantial commitment to bolstering the industrial fabric of Italy, supporting job creation and innovation across various sectors.

For the fiscal year 2025, Cotonificio Albini reported revenues of approximately €120 million, with an EBITDA of €6.6 million. The company's net debt stood at €18.3 million at year-end. This financial backdrop provides a solid foundation for the new debt, which is strategically allocated to capital expenditures aimed at enhancing competitiveness and expanding market reach in a dynamic global marketplace.
