Analysis

MVC Group, a prominent Italian apparel manufacturer backed by private equity firm Equinox III, has significantly expanded its footprint in the high-performance outdoor equipment sector through the acquisition of Tailfin, a UK-based specialist in bikepacking gear. This strategic move marks MVC Group's fourth acquisition within a year, underscoring its aggressive growth strategy and diversification efforts beyond its core cycling, ski, and triathlon apparel lines.

Tailfin, established in 2017 and known for its innovative bags, racks, and accessories for cycle touring, brings a robust portfolio of over 20 patents and a track record of substantial growth. The company has achieved an average annual expansion rate of 50% over the past five years, reaching nearly €10 million in revenue in 2025. A significant portion of this revenue, over half, is generated from key international markets including the United States, the United Kingdom, and Germany, aligning perfectly with MVC Group's global ambitions.

The transaction sees MVC Group acquiring a 75% stake in Tailfin, with the company's founder, CEO Nick Broadbent, and his management team retaining operational control and a 25% minority interest. This structure ensures continuity and leverages Tailfin's specialized expertise. The integration is expected to enhance MVC Group's existing brands, such as Castelli and Sportful, by adding complementary product categories. Furthermore, Tailfin's technological prowess and intellectual property are anticipated to drive innovation across MVC Group's broader portfolio, including its Zoot and Karpos brands, which cater to triathlon and outdoor sports.

This acquisition follows a series of strategic purchases by MVC Group, including the establishment of its UK subsidiary in July, the acquisition of distributor Wolvenberg to form MVC Benelux in February, and the purchase of Zoot's European distributor last October. These moves demonstrate a clear pattern of consolidating market presence and expanding product offerings through targeted M&A. MVC Group, formerly known as Manifattura Val Cismon, has been supported by Equinox III, investing via its vehicle Sprinter sarl, since 2019.

With a consolidated revenue exceeding €114 million in 2025, an EBITDA of €12.4 million, and net liquidity of €1.4 million, MVC Group is well-positioned for further expansion. The company anticipates revising its three-year industrial plan upwards, which previously targeted €150 million in revenue by 2028, reflecting the enhanced scale and market reach post-acquisition. The integration of Tailfin is expected to unlock significant international growth potential and foster a new phase of collaborative development.

Emilio Foà, CEO of MVC Group, emphasized the strategic value of the acquisition, stating, "The most valuable acquisitions are those that strengthen an organization's capabilities. With Tailfin, we are not just adding a new product category; we are integrating an excellent brand that aligns with our distinctive positioning and commitment to innovation. We are also acquiring strategic assets in the form of specialized technological expertise and extensive intellectual property, which can drive product innovation across all our disciplines."
