Analysis

Mutares SE & Co. KGaA has agreed to acquire the trio of Swedish businesses operating under the M3 Group umbrella, a move designed to deepen its footprint in Nordic infrastructure. The purchase, structured as a bolt-on for portfolio company GDL Anläggning & Miljö, is conditioned on regulatory approvals and is slated to close in Q4 2025.

The target cluster — M3 Schakt AB, M3 Rental AB and Schaktförmedlingen Sverige AB — specialises in transport infrastructure works and equipment rental for complex projects such as subways, roads and rail corridors. The group reported roughly EUR 35 million in revenues for the last fiscal year and employs about 44 employees, supported by an extended network of subcontractors.

For Mutares, the acquisition is consistent with a buy-and-build approach: integrating M3 is expected to broaden GDL Anläggning & Miljö’s service offering and enlarge its geographic reach across the Nordic markets. Management highlights potential operational synergies in fleet utilisation, project scaffolding and procurement that could lift utilisation and margin in the medium term.

Market context underlines the strategic timing. Public and private investment in Nordic transport infrastructure has remained resilient amid broader economic cycles, driven by urbanisation, capacity upgrades and decarbonisation projects. Independent machine rental firms and specialised civil contractors have been attractive consolidation targets because they deliver recurring project access and provide cross-sell opportunities.

Deal execution will follow customary clearance steps in Sweden and the transaction will be folded into Mutares’ Infrastructure & Special Industry segment. The acquiror expects minimal business disruption during the integration, with an emphasis on retaining key operations staff and subcontractor relationships to maintain project continuity.

Johannes Laumann, CIO at Mutares, framed the acquisition as a strategic expansion: "This bolt-on reinforces our Nordic presence and strengthens the operational footprint of GDL Anläggning & Miljö in high-spec infrastructure delivery," he said, pointing to complementary capabilities and a favourable market backdrop.
