The integration of Skynet, a Warsaw-based FTTH operator and Internet Service Provider (ISP), is set to immediately expand FixMap's network reach. Skynet currently boasts approximately 56,000 homes passed (HPs) and serves around 19,000 homes connected (HCs) across the capital region. Crucially, Skynet has ambitious plans to nearly double its existing network footprint by rolling out an additional 46,000 HPs, a move that will substantially enhance FixMap's future growth potential and market penetration in a key urban center. This expansion aligns perfectly with the broader trend of increasing demand for high-speed internet, a sector experiencing robust growth rates, particularly in emerging European markets.

Strategically, Skynet's network is geographically contiguous with four existing FixMap subsidiaries already operating in and around Warsaw. This adjacency will facilitate seamless integration, optimize operational efficiencies, and further solidify FixMap's regional dominance. Post-acquisition, FixMap's total footprint will encompass approximately 486,000 HPs and 153,000 HCs across Poland, a significant leap from its previous 430,000 HPs and 134,000 HCs. This scale positions FixMap as a formidable player in the Polish telecommunications market, where fiber optic penetration continues to be a key driver of digital transformation.

Christopher Ehrke, Partner and Head of Digital at Arcus Infrastructure Partners, emphasized the strategic rationale behind the acquisition. "Consolidating the fragmented Polish FTTH market remains FixMap's strategic priority," Ehrke stated. "The acquisition of Skynet, a high-quality regional operator, will significantly strengthen FixMap's presence and positioning in the Greater Warsaw area. This marks the third acquisition under AEIF3's ownership, following successful integrations of Internet Union and Stimo.Net, and we continue to actively pursue a robust M&A pipeline of other regional Polish network operators, successfully delivering on FixMap's buy-and-build strategy." This aggressive inorganic growth strategy is common in the digital infrastructure sector, where economies of scale and network density are critical competitive advantages.

Piotr Muszynski, FixMap's CEO and a minority shareholder, highlighted the transaction's importance. "The acquisition of Skynet represents an important transaction for FixMap, not only because of Skynet's existing market position but also due to its high growth potential, proven by the current significant KPO/FERC project under advanced deployment," Muszynski commented. This forward-looking perspective underscores the long-term value creation potential embedded in the deal, particularly as government-backed initiatives continue to drive broadband expansion across the region. FixMap's subsidiaries also act as network operators, with seven currently providing wholesale services to Orange Polska, the nation's leading telecommunications provider, further diversifying its revenue streams and strengthening its ecosystem.

The transaction was supported by a consortium of advisors, with Wierciński, Kwieciński Baehr providing legal counsel, Veroservice and WEDUIT handling technical aspects, and Grant Thornton advising on financial, tax, and structuring matters. This comprehensive advisory team facilitated a smooth execution of the complex deal, reflecting the sophisticated nature of infrastructure M&A in the current market.
