The MasOrange joint venture includes a ratchet mechanism in its Vodafone Spain agreement to protect investors in case of future revenue underperformance. MasOrange also holds a stake in a national fibre venture with Zegona Communications, which is considering selling a 40% stake to outside investors.

The potential exit follows similar moves by private equity in European telecom:
