London – August 6, 2025Cinven, the global private equity firm, has entered into a definitive agreement to acquire a majority stake in Smart Communications, a leading provider of cloud-based enterprise customer communications, from Accel-KKR. The deal underscores the growing investor demand for enterprise SaaS platforms that offer recurring revenues and regulatory resilience.

The transaction, which is expected to value Smart Communications at over $1 billion, marks Accel-KKR’s fourth billion-dollar European exit and highlights the firm’s long-term commitment to enterprise technology businesses. Accel-KKR, which acquired Smart in 2016 via a carve-out from Thunderhead, will retain a minority interest in the company as it enters its next phase of growth.

Over the nine-year partnership, Smart Communications achieved over 5x revenue growth and completed strategic acquisitions across North America, the DACH region, the Nordics, and Australia. The company’s Conversation Cloud™ platform now supports more than 60 billion global communications annually and integrates with enterprise ecosystems such as Salesforce, Guidewire, and Pega.

This transaction reinforces Cinven’s broader push into high-quality B2B software investments, particularly platforms serving regulated verticals such as insurance, healthcare, and financial services. Cinven has previously backed software leaders like Jaggaer and One.com, aligning with a strategy focused on scalable, mission-critical platforms with global potential.

The Smart Communications deal comes amid a string of significant exits for Accel-KKR in Europe, including recent sales of Kerridge Commercial Systems, Episerver (now Optimizely), and JAGGAER. The firm has completed nearly 90 software investments across Europe, underscoring its deep sector expertise.

Smart’s focus on enabling high-volume, regulated customer communication places it in a category of mission-critical SaaS infrastructure that has attracted sustained private equity interest, particularly in a climate where digital engagement, compliance, and automation remain strategic priorities for enterprises worldwide.

The deal is subject to customary regulatory approvals and closing conditions and is expected to close later in 2025.
