This synergy is designed to leverage the existing mine's ramp-up towards commercial production, anticipated in the fourth quarter of 2026, as the primary cash-flow generator for expanding the combined company's reach.

Production forecasts for the Bunker Hill Mine indicate a substantial increase, with projections suggesting a rise from over 980,000 silver-equivalent ounces in 2026 to more than 2.5 million silver-equivalent ounces in 2027, based on industry analyst consensus. Further expansion, dubbed Bunker Hill 2.0, could potentially elevate daily throughput and drive annual output towards an impressive 5 million silver-equivalent ounces, underscoring the significant growth potential.

The consolidated mineral resource inventory is substantial, encompassing four U.S. silver projects holding an estimated 80 million silver-equivalent ounces in measured and indicated categories, alongside an additional 308 million silver-equivalent ounces in the inferred category. Key assets from Silver47 Exploration include the Red Mountain project in Alaska, which alone boasts an inferred resource of approximately 168.6 million silver-equivalent ounces, alongside the high-grade silver and gold prospects at Hughes in Nevada and Mogollon in New Mexico.

To bolster its financial position during this transition, Bunker Hill Mining has secured additional liquidity. This includes a $10 million concentrate prepayment facility arranged with Ocean Partners and an initial draw of $1 million from its existing standby facility with Teck Resources. Furthermore, Silver47 Exploration has committed to facilitating an unsecured debt facility of up to $5 million for Bunker Hill, subject to final agreements.

Following the transaction's completion, the leadership team will include Richard Williams as Executive Chairman, Sam Ash as CEO, Galen McNamara as President and Chief Investment Officer, and Bradley Barnett as CFO. The operational hub will remain at the historic Bunker Hill Mine. The deal requires approvals from shareholders of both companies, stock exchange regulators, and the Supreme Court of British Columbia, with completion anticipated shortly after shareholder meetings scheduled for November 2026. Notably, significant shareholders, including Sprott Private Resource Streaming & Royalty and Teck Resources, have already committed their support through voting agreements.
