Analysis

Ambienta SGR's refrigeration platform has taken another step toward market leadership with the acquisition of Freddo & Co. S.r.l.. The deal — Frigoveneta’s third add-on since Ambienta launched the platform — deepens technical capacity and broadens customer coverage in the food sector.

Founded in 1998 and based in Pianezze (Vicenza), Freddo specialises in the design, installation and after‑sales servicing of centralised refrigeration systems for refrigerated warehouses and process‑cooling. The business serves premium food customers across dairy, bakery and cured‑meat segments and brings a sizable bench of experienced field technicians to the combined group. The company’s founders will remain active in operations and will reinvest alongside the platform.

Ambienta says the integration of Freddo with Frigoveneta will accelerate adoption of low‑GWP and natural refrigerants — notably CO2 systems — and expand service-led revenues. Management highlights that a majority of Freddo’s 2025 sales already derive from very low‑GWP technologies, a commercial edge as regulators and customers press for cleaner cooling solutions.

The move comes after two earlier add‑ons this year — Mercuri in February and Bonera in July — and reflects a deliberate roll‑up strategy. Market sizing underlines the opportunity: Europe’s commercial and industrial refrigeration market is estimated at roughly €12bn and is undergoing structural change driven by F‑gas phase‑downs, tighter energy‑efficiency rules and corporate net‑zero commitments. Consolidation is helping platform owners scale service networks and retrofit capabilities needed to replace high‑GWP refrigerants and trim electricity use.

Industry context bolsters the strategic rationale. Refrigeration systems account for an estimated 500 million tonnes of greenhouse‑gas emissions annually (around 1% of global emissions), split between direct refrigerant releases and indirect emissions from electricity consumption. Suppliers that can cut both leak‑related and energy‑related emissions stand to win market share as customers seek whole‑system decarbonisation.

Ambienta’s private equity team framed the acquisition as a technical and commercial complement to Frigoveneta’s existing product and distribution footprint. Massimiliano Lecchi, Private Equity Principal, said the deal strengthens after‑sales capacity; Francesco Lodrini, Private Equity Partner, highlighted the potential to unlock cross‑selling opportunities across the group’s customers. Marco Rampichini, CEO of Frigoveneta, described the transaction as a catalyst to increase coverage of attractive food segments, while Michele Piovesan, Freddo’s general manager, called the partnership an accelerator for the company’s next growth phase.
