About This Fund
Bain Capital Tech Opportunities Fund II is the second dedicated technology growth equity vehicle of Bain Capital, managed through its specialised Bain Capital Tech Opportunities strategy. The fund completed its final close in January 2023 at $2.4 billion in total commitments, substantially exceeding its $1.5 billion target and nearly doubling the capital raised by the predecessor fund, which closed at $1.3 billion in 2020. Legal counsel was provided by Ropes & Gray, which represented Bain Capital on the fund close alongside two additional Bain Capital fund closings totaling more than $3 billion in the same quarter.
Fund II invests in high-growth technology companies across software-intensive verticals with clear recurring revenue characteristics and strong competitive positioning. Target sectors include infrastructure and security software, healthcare information technology, financial technology and payments, and vertical enterprise applications. The fund deploys $75 million to $250 million of equity per transaction, with an average check size in the $150 million range—consistent with its role as a growth-stage or pre-IPO capital provider rather than a leveraged buyout vehicle. Bain Capital Tech Opportunities brings deep expertise in operational value creation, technology-sector diligence, and board-level partnership to minority and control-oriented growth investments where proprietary insight translates to differentiated returns.
The predecessor Bain Capital Tech Opportunities Fund I closed at $1.3 billion in 2020 and demonstrated the strategy's ability to generate outsized returns in enterprise software growth equity. Fund II's scale—at nearly double the predecessor—reflects strong institutional investor demand and validates the team's track record in identifying proven enterprise software businesses with high recurring revenue, significant addressable markets, and durable competitive moats well before their ultimate public market or strategic exit outcomes.
